Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of Montana Bid Room (the “Platform,” “we,” “us,” or “our”), including our website and related services. By creating an account or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Description of Service

Montana Bid Room is a Montana-focused construction bid exchange that connects General Contractors, Subcontractors, Homeowners, and other construction professionals. The Platform allows users to post construction projects, submit bids, manage trade bid packages, and communicate regarding construction work.

Montana Bid Room offers the following account tiers:

  • Free — browse public projects, receive invitations, submit bids
  • Contractor (paid subscription, for General Contractors and Subcontractors) — includes project hosting, trade bid packages, contractor invitations, live bid comparison tools, private marketplace access, Proactive Bid Push notifications, and the AI Scope Assistant feature (coming soon)
  • Homeowner / Owner (paid subscription) — allows posting of residential or commercial projects to receive contractor interest

3. Eligibility and Account Registration

You must be at least 18 years old and capable of forming a binding contract to use the Platform. You agree to provide accurate, current, and complete information when creating an account and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Self-Attestation of Credentials — No Independent Verification

Montana Bid Room operates on a self-attestation model. Contractors using the Platform self-attest to their business license status, insurance coverage, EIN, Independent Contractor Exemption status, and trade certifications. MONTANA BID ROOM DOES NOT INDEPENDENTLY VERIFY THESE CREDENTIALS. We do not guarantee, warrant, or represent that any contractor on the Platform is properly licensed, insured, or otherwise qualified to perform construction work.

It is your sole responsibility to independently verify any contractor's licensing, insurance, and qualifications — including by contacting the Montana Department of Labor & Industry directly — before entering into any agreement, hiring any contractor, or awarding any work through the Platform. Montana Bid Room is not a party to any agreement between a General Contractor, Subcontractor, or Homeowner, and bears no responsibility for the performance, quality, safety, or legality of any work performed.

5. Platform Role — Facilitator, Not a Party to Transactions

Montana Bid Room provides a platform for construction professionals and property owners to connect, communicate, post projects, and submit bids. We are not a construction company, general contractor, subcontractor, or party to any construction contract formed between users. We do not review, approve, or guarantee any bid, project, proposal, or the outcome of any work performed.

6. Fees and Subscriptions

  • Subscription fees are billed monthly in advance via our payment processor, Stripe, and are subject to applicable taxes
  • Subscriptions automatically renew each month unless cancelled prior to the renewal date
  • You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period
  • Montana Bid Room does not charge platform fees on awarded work — our revenue comes solely from subscription fees, not transaction fees on completed projects
  • Fees are non-refundable except as required by law or as otherwise stated at the time of purchase
  • We reserve the right to change subscription pricing with reasonable advance notice to active subscribers

7. AI Scope Assistant — Feature Limitations

The AI Scope Assistant uses artificial intelligence to extract and summarize trade-relevant information from uploaded project specification documents. This feature is provided as a convenience tool only. AI-generated summaries may contain errors, omissions, or inaccuracies. You are solely responsible for independently reviewing the full project specification documents and verifying any AI-generated summary before relying on it for bidding, contractual, or any other purpose. Montana Bid Room is not responsible for any loss or damage resulting from reliance on AI-generated content.

8. Proactive Bid Push Notifications

Subscribers to the Contractor tier may receive automated notifications (“Bid Push”) when projects matching their profile criteria are posted. You may adjust your notification preferences, including frequency and delivery method, or opt out entirely, at any time in your account settings. Receiving a Bid Push notification does not guarantee project availability, accuracy of project details, or any outcome.

9. User Conduct

You agree not to:

  • Provide false, misleading, or fraudulent information, including false credentials or project information
  • Use the Platform for any unlawful purpose
  • Upload content that infringes the intellectual property rights of others
  • Attempt to circumvent, disable, or interfere with security features of the Platform
  • Use automated means (bots, scrapers) to access the Platform without our prior written consent
  • Harass, defraud, or harm other users
  • Share your secure invitation token links publicly or with parties not intended by the inviting General Contractor

10. Content and Intellectual Property

You retain ownership of content you upload to the Platform (such as project documents, bids, and proposals). By uploading content, you grant Montana Bid Room a limited license to host, display, and transmit that content as necessary to operate the Platform and provide the Services to relevant other users (e.g. sharing a GC's project documents with invited subcontractors).

The Montana Bid Room name, logo, and platform design are the property of Montana Bid Room and may not be used without our prior written permission.

11. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT POSTED BY USERS, INCLUDING PROJECT LISTINGS, BIDS, OR SELF-ATTESTED CREDENTIALS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MONTANA BID ROOM AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM (INCLUDING THE PERFORMANCE OR QUALITY OF ANY CONSTRUCTION WORK), OR UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO MONTANA BID ROOM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Montana Bid Room, its operator, and any future affiliated entities from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, your violation of any law, or your provision of false or misleading information, including false self-attested credentials.

14. Dispute Resolution Between Users

Montana Bid Room is not responsible for resolving disputes between users, including disputes related to project scope, bid accuracy, payment, or work quality. Users are encouraged to resolve disputes directly. Nothing in these Terms prevents users from pursuing any legal remedy available to them under Montana law.

15. Termination

We may suspend or terminate your account at our discretion if you violate these Terms, provide false information, or engage in conduct harmful to the Platform or other users. You may terminate your account at any time by contacting us or using account settings. Upon termination, your right to use the Platform ceases immediately, though certain provisions of these Terms (including Sections 11 through 14) will survive termination.

16. Governing Law

These Terms are governed by the laws of the State of Montana, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Montana, and you consent to the jurisdiction of such courts.

17. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a revised effective date. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
